Why do you need a registered office for your company or firm?

One of the primary situations that you deal with when establishing a commercial firm / company is the provision of a registered office for running the company. You might not have a friend who can provide you with a registered office for your company in their premises, or you could run into problems with a real estate owner who may not want to provide you with a registered office for your company in their premises.

However we do not want to distress you as you will probably not face this situation often, and the registered office for your company will not be a problem. Yet it's always good to ask in advance.

What is the registered office of the company?

The registered office of the legal entity and the place of business of the physical person is the address registered as its registered office or place of business in the Commercial Register or another register defined by law.

Current legal regulations of the company's registered office according to the Commercial Code, Civil Code and the Trade Act:

Effective as of 20/07/2009 the Parliament of the Czech Republic accepted Act No. 215/2009 Coll., which (inter alia) amended the wording of Article 19c of the Civil Code concerning the seat of the company so that the new legal regulation gives legal entities as well as physical persons the right to freely choose its registered office, even at a different address than the actual place of their management. By this regulation the wording of Article 19c of the Civil Code was brought into accord with the laws of the European Community that define freedom of seating companies within the territory of the EU member states.

The amended wording or Article 19c of the Civil Code reads as follows:

"Article 19c

(1) The seat of a legal person shall be determined at its establishment.  The seat of a legal person must not be in an apartment if it contradicts the nature of the legal entity or the extent of its activities

(2) If the legal person registers itself in a public register, it will be sufficient if its founding document indicates the name of the municipality, where the seat of the legal person is. The legal person shall file the full registered address in the public register.

(3) Anyone can appeal for a real seat of the legal entity. Against a person who appeals for a seat registered in the public register, a legal person cannot argue that it has its actual registered office in another location."
